Zen Autopilot – Terms of Use (effective April 16 2025)
These Terms of Use ("Terms") govern your access to and use of Zen Autopilot (the "Service"). By creating an account or using the Service, you agree to these Terms and acknowledge that Zen Autopilot is operated by Bronlo Ltd, a UK‑registered company (company number 14228957). These Terms apply to all users, including resellers and their end clients.
1 Acceptance of Terms
By accessing or using the Service, you accept these Terms. If you do not agree, you must not use the Service.
1A Definitions
For ease of reference, the following capitalised terms have the meanings set out below:
“Service” means the Zen Autopilot platform, including all software, features and related services provided under these Terms.
“User Data” means any information, content or data that you or your end‑customers submit to or through the Service, including customer lists, leads, messages and files.
“Subscription” means the recurring plan you select (e.g., monthly or annual) which grants access to the Service for the specified period.
“Confidential Information” means proprietary or non‑public information disclosed by either party to the other that is identified as confidential or that reasonably should be understood to be confidential given its nature and the circumstances of disclosure (including pricing, business plans, technology, algorithms and trade secrets).
2 Description of the Service
Zen Autopilot is a proprietary AI‑powered automation platform tailored to service‑based businesses. Features include:
AI Receptionist (Voice AI)
Booking automation
Call handling and message capture
CRM and funnel management
Review generation
Email, SMS, live chat and social messaging unification
Meta ads and lead‑generation tools
Workflow and marketing automation
Custom prompt design and AI personalization
Subscription plans include Zen Flow, Zen Elevate and Zen Infinity as described on our website.
Integration and third‑party accounts: To make full use of the Service you may need to embed forms, surveys or calendars on your website and connect third‑party platforms (e.g., email, SMS and social media services). We can assist with installing and integrating these tools, but it is your responsibility to establish, manage and secure all third‑party accounts (Facebook, Google My Business, Instagram, TikTok, YouTube etc.). We do not create or manage third‑party accounts on your behalf. If you terminate your subscription, we are not required to restore or rebuild your website or make changes within those third‑party services.
3 Eligibility
You must be at least 18 years old and legally authorised to represent a business. All registration details must be true, accurate and up‑to‑date.
4 Account Registration & Security
You are responsible for securing your login credentials and for all activities that occur under your account. Notify us immediately of any unauthorised access. You must maintain appropriate security and backup measures on your own systems.
5 Free Trial & Refund Policy
We offer a 14‑day money‑back guarantee for first‑time subscribers. If you cancel within 14 calendar days of your initial purchase, you are entitled to a full refund. Notice must be given within 14 days and refunds are processed within 14 business days. After the 14‑day period all payments are non‑refundable unless otherwise stated in writing. This guarantee does not apply to renewals, upgrades or additional purchases.
6 Subscription & Billing
Subscriptions renew automatically unless cancelled before the renewal date. All fees are quoted and payable in the currency indicated on our order form. All prices are inclusive of applicable taxes, unless explicitly stated otherwise. Pricing may include:
Monthly or annual plan fees – Annual plans lock in the advertised price for the year. Monthly plans may change with at least 30 days’ notice (or longer if required by local law). By providing payment details you authorise recurring charges.
Usage‑based charges – The core subscription price does not include outbound calls, SMS, emails or AI usage. These costs are charged based on your actual use and may vary.
Third‑party provider fees – We do not control pricing from infrastructure partners (e.g., telecom providers) and are not responsible for external rate changes.
Invoices will be issued electronically at the start of each billing period and are due immediately upon receipt unless otherwise specified. If payment is not received by the due date, we may charge interest on the overdue amount at the statutory rate in force and suspend access to the Service until payment is made. We will endeavour to respond to billing enquiries within two business days.
Service Level Statement
We aim to make the Service available at least 99 % of the time, excluding planned maintenance windows, emergency maintenance, or outages caused by factors outside our control (including failures of third‑party providers). We strive to respond to critical support requests within one business day. While these targets are not contractual guarantees, we commit to keeping you informed of major incidents and status updates via our status page or support channels.
All payments after the trial period are non‑refundable. If your account is overdue, we may suspend access until outstanding amounts are paid. You are responsible for any applicable taxes.
7 Licensing, Third‑Party Tools and Data Responsibility
You receive a non‑exclusive, non‑transferable licence to use the Service within your plan limits for your internal business purposes. You may not rebrand, white‑label, copy, sell or lease the software or your account without our written consent.
You retain full ownership of your customer data (including data collected from leads or prospects) and are responsible for how you process, store and use that data. Zen Autopilot bears no responsibility for your data. You must comply with all applicable privacy, telemarketing and data‑protection laws. The Service integrates with third‑party tools; we maintain high operational standards but cannot guarantee or be held responsible for disruptions or limitations caused by those providers.
Platform notes: Some features may require compatible phone numbers or connections with external services (for example, Voice AI or ad‑network integrations). Details of any required third‑party services will be provided during setup.
Integration assistance: When you sign up, Zen Autopilot will help you install scripts, widgets and necessary code to integrate the Service into your website or systems. However, you are responsible for maintaining those integrations. If you cancel or downgrade, we do not remove or reconfigure those implementations for you.
External CMS responsibility: If you host your website or funnels on an external content management system (CMS) or platform, you are solely responsible for maintaining a complete backup of your content and code. Zen Autopilot does not store copies of externally hosted websites and cannot restore or replicate your site if it is altered or removed.
8 Modification of Services and Change of Terms
We reserve the right to enhance, modify or discontinue any feature or plan at any time. We may also update these Terms to reflect changes in law, technology or business practices. Material changes will be notified via email or within the platform. Continued use after changes implies acceptance. Your subscription is not contingent on future features or public statements about product direction.
9 Suspension and Risk Controls
We may suspend or terminate access for reasons including non‑payment, account misuse, regulatory risk, security concerns or activities that pose a risk to network stability. We reserve the right to impose additional risk‑control measures if your usage jeopardises the Service.
10 Branding and Customization Responsibility
If you customise the platform with your branding, you are responsible for any trademark, copyright or visual compliance issues. Customisation must not mislead others into thinking you developed the software. You may not use our trademarks without permission.
11 Feedback and Idea Submissions
Any feedback, suggestions or ideas submitted to Zen Autopilot may be used without compensation or obligation. By submitting feedback you waive rights to any claims.
12 DMCA and Copyright Concerns
If you believe your copyrighted content appears on our platform without permission, please contact us. We honour valid DMCA‑style takedown requests.
13 Notifications and Communication
Legal or account‑related notices may be sent electronically to the email address associated with your account. You agree that electronic notices satisfy legal notice requirements.
14 Force Majeure
We are not liable for events beyond our control, including outages, regulations, natural disasters or third‑party service failures.
15 Data Privacy and Security
Zen Autopilot complies with GDPR, CCPA and PIPEDA, where applicable. Data is securely stored on servers used by Zen Autopilot with two‑factor authentication‑protected admin access and industry‑standard encryption. You may request data access, export, correction or deletion by contacting support. We do not knowingly store data from minors.
If we become aware of a personal data breach affecting your User Data, we will notify you without undue delay and, where feasible, within 72 hours of becoming aware of the breach, providing a description of the nature of the breach, the likely consequences and the measures taken or proposed to address it. You are responsible for notifying your own customers or supervisory authorities when required by law.
Security measures include encryption in transit (TLS 1.2 or higher) and at rest (AES‑256). The platform uses multi‑tenant separation and logical access controls to keep customer data isolated. We maintain backup and disaster‑recovery procedures, but you are responsible for maintaining backups of your own data. Do not use the Service to collect sensitive personal information such as payment card numbers, financial account information, social security numbers or health information.
Cross‑border data transfers
We may process and store User Data on servers located in multiple jurisdictions. Where data is transferred outside of the United Kingdom or European Economic Area, we rely on appropriate transfer mechanisms such as Standard Contractual Clauses or other valid legal bases to ensure that your data receives a level of protection equivalent to that mandated by local law. Upon request we will provide a list of countries where data may be stored.
Confidentiality
Each party agrees to protect the other party’s Confidential Information using at least the same degree of care it uses to protect its own confidential information, and not to disclose or use such information except as necessary to perform its obligations under these Terms or as required by law. Confidentiality obligations survive termination of this Agreement.
16 Resellers & Rebilling
Approved resellers may offer Zen Autopilot under their brand. Resellers must manage their own customer support and billing, ensure that end users accept these Terms, and are fully responsible for their clients’ actions and data management. Resellers may not represent themselves as the developers of Zen Autopilot.
17 Intellectual Property
All software, content and branding are the exclusive property of Bronlo Ltd. You may not reuse, replicate or distribute platform assets without written consent.
18 Termination
Either party may cancel at any time. We may also suspend or terminate your account for violations or legal risk. Upon termination, your licence ends and your data may be deleted after 30 days. Except for the 14‑day money‑back guarantee described in Section 5, subscriptions are non‑refundable and no credits will be issued for unused portions of your subscription term.
19 Limitation of Liability and Indemnification
Limitation of liability: The Service is provided "as is" and we do not guarantee that it will be uninterrupted, error‑free or secure. We are not liable for loss of revenue, appointments or data, service interruptions or errors due to third‑party systems. Our total liability arising out of or related to these Terms, whether in contract, tort (including negligence) or otherwise, is limited to the total fees you paid for the Service in 1 month immediately preceding the event giving rise to the claim. This limitation does not apply to (i) death or personal injury caused by our negligence; (ii) fraud or fraudulent misrepresentation; or (iii) any other liability that cannot be excluded or limited under applicable law. We do not seek to limit liability for gross negligence or wilful misconduct.
Indemnification: You agree to defend, indemnify and hold harmless Zen Autopilot, Bronlo Ltd and our directors, officers and affiliates against claims, damages, liabilities, losses and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms or applicable law, your data or content, or claims by your end‑customers. We will notify you promptly of any claim and may assume control of its defence. We are not responsible for legal fees or damages arising from your misuse of the Service.
20 Disclaimer of Warranties
Zen Autopilot is provided “as is” and “as available.” We expressly disclaim all warranties of any kind, whether express, implied or statutory, including merchantability, fitness for a particular purpose and non‑infringement. We do not guarantee that the Service will be uninterrupted, error‑free or that defects will be corrected.
21 AI Risk and Oversight
Zen Autopilot includes AI‑powered features such as voice interaction, automated follow‑ups and scheduling. While we strive for accuracy and performance, AI tools may make errors or generate unexpected outputs. You are solely responsible for monitoring your AI configurations and ensuring they align with your business standards and compliance obligations.
22 Acceptable Use Policy
You agree not to use Zen Autopilot for any illegal, deceptive, harmful or abusive activities. This includes, but is not limited to:
Sending spam or unsolicited messages or bulk communications without consent;
Violating laws (e.g., data privacy, telemarketing or consumer‑protection regulations);
Harassing, threatening, defaming or misleading users;
Hosting, distributing or linking to malware, phishing schemes or other malicious code;
Engaging in deceptive marketing practices, phishing, unauthorised scraping or data harvesting;
Using the Service to facilitate illegal gambling, violence, discrimination, exploitation of minors or other prohibited content.
We reserve the right to investigate and suspend or terminate accounts that breach this policy. In most cases we will provide a warning and an opportunity to cure the breach; however, we may immediately disable access where necessary to protect the Service or comply with the law. Suspension or termination for breach does not relieve you of your payment obligations and does not entitle you to a refund.
23 Account Non‑Transferability
Your account may not be sold, assigned or transferred to another person or business without written consent from Zen Autopilot. We reserve the right to suspend or cancel access if we suspect unauthorised account sharing or transfer.
24 Third‑Party Integrations, APIs and Export Compliance
Zen Autopilot provides access to third‑party tools and APIs to enhance your experience. We are not responsible for the functionality, security or compliance of those third‑party services. Use of third‑party integrations is at your own risk and subject to their respective terms and conditions.
Export and sanctions compliance: You may not use the Service in violation of export control laws or sanctions regimes. You represent that neither you nor your end‑customers are located in, under the control of, or a national or resident of any country subject to UK, EU or U.S. sanctions. You agree not to export, re‑export or transfer the Service to prohibited countries or individuals.
25 Survival of Terms
The provisions of these Terms that by their nature should survive termination will remain in effect after your account ends. This includes, but is not limited to, clauses relating to intellectual property, licensing, limitation of liability, indemnification, acceptable use, and data responsibilities.
26 Dispute Resolution and Governing Law
Before initiating formal proceedings, you agree to first attempt to resolve any dispute with us informally by contacting us and allowing 30 days for resolution. If we cannot resolve the dispute, the parties may agree to binding arbitration under the rules of a recognised arbitration body (such as the London Court of International Arbitration) conducted in English. You and Zen Autopilot waive any right to participate in class or collective actions. Nothing in this section prevents either party from seeking relief in a court of competent jurisdiction to protect intellectual property or to collect unpaid fees.
These Terms are governed by the laws of the United Kingdom, and you agree that any court proceedings relating to the Service must be brought in the courts of England and Wales, unless we agree otherwise in writing. This does not prevent either party from seeking interim or injunctive relief in any competent jurisdiction to protect intellectual property or to collect unpaid fees.
27 Miscellaneous
Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations to an affiliate or successor.
Severability: If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect and be enforced to the maximum extent permitted by law.
Entire agreement: These Terms constitute the entire agreement between you and Zen Autopilot regarding the Service and supersede all prior agreements or understandings.
No waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce that provision later.
